Welcome to Oraclez Network, accessible at https://oraclez.xyz, an Interface hosted on our website and managed by Oraclez Foundation (referred to as the “Interface”). These Terms of Use (the “Terms”), govern access to and usage of the Interface. By accessing, browsing, or otherwise utilizing the Interface, or by acknowledging agreement to the Terms on the Interface, you indicate that you have read, comprehended, and accepted all the Terms and the Privacy Policy, which is incorporated by reference into the Terms.

Oraclez Foundation is referred to as “Oraclez,” “we,” “us,” or “our.” “You,” “your,” and “user(s)” refer to anyone who accesses or uses the Interface. If you access or use the Interface on behalf of a company or other legal entity, you affirm that you have the authority to bind that entity to these Terms, and in such cases, “you,” “your,” or “user(s)” refers to that entity.

IMPORTANT NOTE REGARDING ARBITRATION: By agreeing to these Terms through using or accessing the Interface, you agree to resolve any dispute between you and Oraclez through binding, individual arbitration rather than in court. You also agree to a class action waiver, both of which impact your rights regarding dispute resolution.

The Interface serves to grant you access to operations within the DeFi space. We provide the interface and software but have no control over your blockchain interactions and do not endorse specific actions. All transactions occur on blockchain networks, which are distributed ledgers with growing lists of securely linked records (blocks) that we do not own, control, or operate. We are not accountable for services provided by third parties, transaction execution, or any actions of such third parties. We retain the right to modify the Interface, including adding, modifying, or discontinuing products or features.

The Interface integrates decentralized protocols (“Protocol”) and grants access to numerous liquidity sources across multiple chains. Additionally, the Interface may include other products and/or features added for user experience development and improvement, including informational, security, and entertainment purposes, without altering the primary purpose of the Interface described above.

To be completed, all transactions involving cryptocurrency, digital tokens, or digital assets (“virtual currency”) must be confirmed and recorded in the associated public blockchain. These networks are decentralized, peer-to-peer networks supported by independent third parties, and we do not own, control, or operate them. We lack control over Blockchain Networks and thus cannot ensure that transaction details you submit via the Interface will be confirmed and processed. By using the Interface, you acknowledge and agree that submitted transaction details may not be completed or may be significantly delayed by the Blockchain Networks.

We do not store, transfer, transmit, convert, broker, hold, escrow, mint, mine, or otherwise interact with any virtual currency, security, financial instrument, or other digital or physical asset. All interactions occur on third-party platforms, subject to associated third-party terms. Any virtual currency transfer occurs on the Blockchain Network, not on a network owned by us. Therefore, we do not guarantee affecting the transfer of title or right in any virtual currency. You accept and acknowledge that we are not responsible for any errors or omissions made in connection with any virtual currency transaction initiated via the Interface.

Transaction completion depends on Blockchain Network availability and operation. Errors or forks in Blockchain Networks may cause transactions initiated through the Interface to fail, potentially rendering the intended transaction unavailable. Due to the decentralized nature of Blockchain Networks, neither we nor any particular party will be responsible to you for errors or losses resulting from this.

To operate the Interface and facilitate access to its products and/or features, we may engage third-party providers and/or third-party APIs, over which Oraclez has no direct or indirect control (“Third-Party Services”). These services are governed by their respective terms and conditions, which may include separate fees, charges, disclaimers, or risk warnings. It is your responsibility to carefully read and understand those Third-Party Services terms and conditions, including how those service providers may use your information according to their privacy policies.

You understand and agree that the functionalities accessible via the Interface for swapping virtual currencies are solely the responsibility of third-party providers, and we bear no responsibility for them. While we facilitate access to these Third-Party Services, we are not involved in any actions, transactions, or activities conducted by such providers. We reserve the right to change, suspend, remove, disable, or impose access restrictions or limits on the use of any Third-Party Service at any time without notice.

You acknowledge that the functionalities accessible via Third-Party Services are the sole responsibility of such providers. You expressly release Oraclez from any liability arising from the use of any Third-Party Services, third-party websites, services, or content, and any resulting harm, loss, or damage.

We reserve the right in our sole discretion to make changes to how we operate the products and/or features accessible through the Interface, including adding new products, features, functionalities, modifying existing ones, altering any other aspect of the Interface, or temporarily or permanently suspending, discontinuing, or terminating your access to any or all portions of the Interface’s functionality. Such modifications or discontinuations will not affect your access to your assets (if applicable), unless exceptional circumstances arise that pose information security risks, intellectual property issues, or other unwarranted risks.

Certain products accessible through the Interface may be subject to additional terms. These additional terms are integral to these Terms of Use. In the event of a conflict, the provisions of such special terms or other agreements shall prevail.

By accessing and using the Interface, you agree to assume all associated risks and release us from liability. Compliance with applicable laws and regulations is solely your responsibility. We may require you to undergo Know Your Client (KYC) and Know Your Business (KYB) checks to access certain features, and refusal may lead to access restrictions.

The Interface may not be available or suitable for use in all jurisdictions. You are solely responsible for complying with all applicable laws and regulations. We are not obligated to inform you of potential liabilities or violations, nor are we liable for any failure on your part to comply with the law.

We aim to maintain a safe and compliant environment within Oraclez Network. Some features may require completion of KYC/KYB checks as required by anti-money laundering, anti-terrorist financing, fraud prevention, and sanctions laws. Third-party providers may conduct these checks, and you are responsible for providing accurate and complete information.

You acknowledge that the outcome of these checks is at the discretion of the third-party provider. Refusal to provide requested information may restrict your access to certain features.

We may use Third-Party Services to assess risks associated with illicit activities. Risk assessment may involve monitoring wallet addresses and other content based on publicly available information. We reserve the right to block or restrict access to addresses associated with illicit activity, but we are not liable for the accuracy or reliability of these assessments.

We may use publicly available information and third-party providers to monitor and assess wallet addresses and other content for risks of money laundering, terrorism financing, fraud, or other illicit activities. You acknowledge that assessment results are at the discretion of third-party providers, and we are not responsible for their accuracy.

We reserve the right to block or restrict activity associated with illicit or non-compliant activities on the Interface. If you believe your access has been restricted in error, contact us at [email protected]

We may provide phishing and other risk alerts through the Interface for informational purposes only. You are responsible for assessing their relevance and accuracy, and we are not liable for any claims or losses related to these alerts.

The Interface provides a user interface for Oraclez Network participants, displaying price information for virtual currency. All Protocol-related interactions occur outside our direct or indirect control. We may disable access for breaches of the Terms or at our discretion, without liability for resulting losses.

You are responsible for your interactions with the Interface. We are not liable for any losses or damages associated with virtual currency risks or your interactions. Follow the rules outlined in the Terms and seek additional information or support as needed before engaging with virtual currency.

We do not control decentralized networks or have access to your private key. We are not responsible for your wallet activities or the Interface. Information provided through the Interface is not guaranteed to be accurate or reliable. Your use of the Interface is at your own risk, and we make no warranties regarding its accuracy or reliability.

You acknowledge that Oraclez doesn't handle your private keys or any associated virtual currency. If you lose control of your private keys, you may lose access to your virtual currency, and we're not liable for such losses. Any failure on your part to comply with these terms releases us from any associated liabilities.

By using the Interface, you confirm that you understand the inherent risks involved in using the Protocol. You also acknowledge the risks associated with cryptographic and blockchain-based systems. You must possess sufficient knowledge of blockchain-based digital assets and understand their volatile nature. We're not liable for any losses resulting from your interaction with the Protocol. Therefore, you assume full responsibility for all associated risks.

The Interface may feature links to third-party resources or promotions, but we don't endorse them. Any interaction with these resources or participation in promotions is at your own risk. These terms don't apply to your dealings with third parties, and we're not liable for any issues arising from such interactions.

We own all rights to the Interface and its contents, including software, text, images, trademarks, and patents. You may not use, modify, or distribute the Interface without our authorization. However, any information you submit remains your property, but you grant us a license to use it. By providing feedback, you agree to let us use it without compensation.

If you meet the eligibility requirements and comply with the terms, you're granted a limited license to use the Interface. This license can be revoked at any time. However, the Protocol is open-source and not our proprietary property.

You agree to defend and indemnify us from any claims, damages, or losses resulting from your use of the Interface or violation of these terms. This includes disputes arising from others' use of the Interface with your assistance.

We're not liable for indirect, incidental, or consequential damages resulting from your use of the Interface. Our liability is limited to the greater of the amount you paid for access or $100. This limitation applies regardless of the basis of the claim and the possibility of certain jurisdictions not recognizing it.

Any disputes will be resolved through arbitration, excluding class actions. Both parties waive the right to a jury trial. You must notify us of any disputes within 30 days, and arbitration must be commenced within one year of the dispute arising. The terms are governed by the laws of the Cayman Islands.

We can update these terms at any time, and your continued use of the Interface constitutes acceptance of the changes. If you disagree with the modifications, your only option is to stop using the Interface. These terms, along with the Privacy Policy, constitute the entire agreement and supersede any prior agreements.

The Privacy Policy governs the collection, use, and disclosure of your personal information. DAOs interacting with the Interface must adhere to these terms. Certain provisions of these terms survive termination. If any provision is deemed invalid, the remaining provisions remain in effect. Section titles and summaries are for reference and don't alter the terms.
